Third Coast Capital Advisors represented Mérieux NutriSciences Corporation, including its North American operating entity, Silliker, Inc. in its acquisition of Randolph Associates, Inc. and H. Randolph, Inc. (the "Randolph Companies") Our Strategic Acquisition Search and Advisory Services included identifying the target through our proprietary research and then facilitating a strategic dialog with its owner. We also advised our client on valuation, transaction structure and the negotiation and closing of the transaction.

Mérieux NutriSciences, headquartered in Lyon, France and Chicago, Illinois, provides a wide range of testing, quality and consulting services to the food & nutrition, agrochemicals, pharma and cosmetics industries. The company employs 5,500 people worldwide and operates 75 laboratories in 18 countries, along with five research and development centers in the United States, Canada, France, Brazil and China.

Randolph Associates Inc. and H. Randolph, Inc.: The Randolph Companies, headquartered in Birmingham, Alabama, were founded in the 1970s by the late Dr. Henry E. Randolph, with an initial focus on the dairy industry. Randolph Associates Inc. is an international firm providing Auditing Services to the Food Industry. H. Randolph, Inc. provides technical and management services to companies in the areas of Quality Control, Sanitation, Food Safety, Productivity, Shrinkage Control and Preventive Maintenance.
